Terms of Service
Effective date: January 1, 2026
1. Scope of services
Proria Collective provides PR and media communications services, including but not limited to strategy, content development, media relations, training, events, and measurement as described on our Catalog page or in a signed Statement of Work (“SOW”).
2. Engagement
An engagement begins when both parties agree to an SOW outlining scope, deliverables, timelines, fees, and approval paths. In the event of conflict between these Terms and an SOW, the SOW prevails for the specified engagement.
3. Client responsibilities
- Provide timely access to subject-matter experts, brand assets, and relevant data.
- Designate a decision-maker and define approval workflows.
- Ensure claims are accurate and lawful; notify us of legal or regulatory constraints.
4. Fees and payment
Fees may be retainer-based, project-based, or hourly. Unless otherwise stated, invoices are due within 15 days. Out-of-pocket expenses (e.g., distribution fees, travel) are billed at cost with prior approval.
5. Intellectual property
Upon full payment, and except for pre-existing IP and third-party materials, we assign to you the rights in final deliverables prepared for you under the applicable SOW, subject to any third-party license terms.
6. Confidentiality
Each party will protect the other’s Confidential Information using reasonable safeguards and will use it only for the purposes of the engagement. This obligation survives termination.
7. Publicity
We may reference your brand name and high-level project descriptions as part of our credentials with prior written consent.
8. Disclaimers
We do not guarantee earned media placements or specific business outcomes. Strategic recommendations are provided on a best-effort, professional basis.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability under an engagement will not exceed the fees paid for the services giving rise to the claim.
10. Termination
Either party may terminate with 14 days’ written notice. You will pay for work performed and committed costs through the termination date.
11. Governing law and disputes
These Terms are governed by the laws of the State of New York, excluding conflict-of-law rules. Disputes will be resolved through good-faith negotiations and, if necessary, binding arbitration in New York County.
12. Changes to Terms
We may modify these Terms. Material changes will be posted on this page with an updated effective date.
